1. Independent professional relationship
You are an independent licensed professional. Ayavi is not your employer, agent, or partner. You are not entitled to employee benefits. You are solely responsible for your taxes, insurance, equipment, employees, sub-contractors, and compliance with all applicable law.
2. License & insurance representations
You represent and warrant that, while your account is active:
- You hold a current state-issued license appropriate for every trade and jurisdiction in which you bid through Ayavi.
- You carry insurance required for your vertical (general liability for construction; E&O or equivalent where applicable for real estate and financial roles).
- You notify Ayavi within 5 business days of any license suspension, lapse, complaint, or insurance change.
3. Bidding obligations
When you submit a bid, you represent that:
- You read the customer’s scope and reviewed all uploaded media.
- The bid is a fixed price covering everything stated, with exclusions clearly listed.
- You are able and intend to perform the work on the proposed start date.
- You will pull required permits unless the customer explicitly accepted that responsibility.
Once a customer accepts your bid, you are contractually obligated to perform as described. Withdrawing post-acceptance without good cause is grounds for removal.
4. Payment from the customer
You invoice the customer directly. Ayavi is not a party to your invoice, does not guarantee customer payment, and is not your collections agent. Platform fees (subscription, award fees, extra bids) are billed separately to your card on file.
5. Off-platform solicitation
You agree not to solicit a customer introduced through Ayavi to take work, payment, or communications off the platform during the lifetime of that job and for 12 months after completion. Violations result in immediate removal.
6. Change orders. contract of record
Plain English: scope changes must be approved on Ayavi. Verbal side deals aren’t backed by our records, reviews, or fee calculations.
Only the accepted bid plus APPROVED change orders on the platform constitute the contract of record. Win-fee and acceptance-fee calculations use the bid plus approved change orders only.
7. Quality standards & reviews
Perform work to applicable industry standards and code. After job confirmation, both you and the customer may leave a rating and review. Three substantiated complaints in 12 months are grounds for removal.
8. Identity verification
You authorize Ayavi to verify identity, license status, insurance, and sanctions-list status. Failed or lapsed verification may suspend bidding access until current.
9. Intellectual property
You may truthfully indicate that you receive work through Ayavi. You may not imply endorsement, partnership, or employment by Ayavi.
10. Termination
Either party may terminate at any time. Outstanding platform fees remain due. Subscription refunds follow our Billing policy.
11. Indemnification
You indemnify Ayavi from claims arising from work you perform for customers introduced through the bid board.
12. No pay-per-lead commitment
Plain English: Ayavi will never charge you per lead. Locked in writing.
Ayavi commits that pro fees are limited to: (a) flat monthly subscription, (b) award fees when a customer accepts your bid (percentage win fee on construction trades, subject to published per-job caps; flat acceptance fee on other verticals), and (c) published extra-bid overage when your monthly allowance is exhausted. Ayavi will never charge per lead, per impression, per message, per rank position, or per introduction. Pricing-level changes within this structure require 30 days’ notice; structural changes that add lead-style fees are invalid against accounts that predated the change.
13. Acknowledgement
By creating a pro account, you confirm that you have read and agreed to this Agreement, the Terms, Privacy Policy, Billing & Refunds, and Acceptable Use Policy.
